1. Introduction and Acceptance

Welcome to Sponsor4Me ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Sponsor4Me governing your access to and use of the Sponsor4Me platform, including any associated mobile applications, websites, and services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use our Services.

2. Definitions

"Platform" refers to the Sponsor4Me website, mobile applications, APIs, and all associated services
"Services" refers to all features, functionalities, tools, content, and services provided through the Platform
"User" or "you" refers to any individual or entity that registers for an account or otherwise uses our Services
"Brand" refers to any User who utilizes our Services to identify, connect with, or engage content creators
"Creator" refers to any User who utilizes our Services to create content and connect with Brands
"Content" refers to any information, data, text, images, videos, audio files, or other materials uploaded, posted, or otherwise transmitted through the Platform

3. Account Registration and Eligibility

3.1 To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 You must be at least 18 years of age or the age of legal majority in your jurisdiction (whichever is greater) to create an account and use our Services. By registering, you represent and warrant that you meet these eligibility requirements.

3.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. User Responsibilities and Conduct

4.1 You are solely responsible for your interactions with other Users of the Services. We reserve the right, but have no obligation, to monitor disputes between you and other Users.

4.2 You agree not to:

Use the Services for any illegal, unauthorized, or unethical purpose
Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
Engage in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services
Attempt to gain unauthorized access to any portion of the Services or any other accounts, systems, or networks connected to the Services
Use the Services to transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Engage in fraudulent, deceptive, or misleading activities in connection with your use of the Services

5. Data Collection and Privacy

5.1 User-Beneficial Data Collection: We collect and process certain personal and non-personal data to provide, improve, and personalize our Services for your benefit. This data collection is essential to deliver the core functionality of our platform, including:

AI-Powered Matching: We collect data about your demographics, content, audience, and engagement metrics to facilitate precise creator-brand matching that delivers higher conversion rates and ROI
Performance Analytics: We analyze campaign performance data to provide you with actionable insights, benchmarking, and optimization recommendations
Payment Processing: We collect financial information necessary to facilitate secure, timely payments between parties
Personalization: We use your interaction data to customize your experience and recommend relevant opportunities
Security and Fraud Prevention: We collect data necessary to verify identity, prevent fraudulent activities, and maintain platform integrity

5.2 All data collection and processing activities are conducted in accordance with our Privacy Policy, which is incorporated by reference into these Terms. You acknowledge that your continued use of our Services constitutes your acceptance of our data collection practices as described in the Privacy Policy.

5.3 We implement industry-standard technical, administrative, and physical safeguards to protect your data. We will never sell your personal data to third parties without your explicit consent.

6. Content and Intellectual Property

6.1 You retain all ownership rights to Content you submit, post, or display on or through the Services. By submitting Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any media or distribution methods now known or later developed.

6.2 You represent and warrant that: (i) you own the Content posted by you or otherwise have the right to grant the license set forth in this section, and (ii) your Content does not violate the privacy rights, publicity rights, intellectual property rights, or any other rights of any person or entity.

6.3 We reserve the right to remove any Content that violates these Terms or is otherwise objectionable in our sole discretion.

7. Platform Fees and Payments

7.1 We charge fees for certain aspects of our Services as described on our pricing page or as otherwise communicated to you. All fees are quoted in U.S. dollars and are subject to change upon notice.

7.2 You agree to pay all applicable fees and taxes associated with your use of the Services. Failure to pay may result in the termination of your access to the Services.

7.3 Internal Payment Policy: For internal purposes between Sponsor4Me and our users, all financial transactions that benefit Sponsor4Me are considered donations that help build, maintain, and grow the company. While we characterize these payments as donations in our relationship with you, they are legally classified as Software as a Service (SaaS) sales transactions for tax and regulatory compliance purposes. Both parties acknowledge this dual characterization and agree that it does not affect the binding nature of our payment obligations.

8. Limitation of Liability

8.1 To the maximum extent permitted by law, Sponsor4Me and its officers, directors, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

8.2 In no event shall our aggregate liability exceed the greater of one hundred U.S. dollars ($100) or the amount you have paid us in the past twelve months.

9. Termination

9.1 We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

9.2 Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

9.3 All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Changes to Terms

10.1 We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Platform and updating the "Effective Date" at the top of these Terms.

10.2 Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.

11. Governing Law and Dispute Resolution

11.1 These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11.2 Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.
